These are the rules of the road for using this website and for any work we do together. They are short, fair, and written so a normal person can actually read them.
Who you are agreeing with
"Gray Adventure Strategies," "we," "us," or "our" refers to Gray Adventure Strategies LLC, an Idaho limited liability company and AI business strategy consultancy founded by Daphne Gray. By visiting grayadventurestrategies.com, browsing any page on it, booking a discovery call, purchasing any product (including live webinars, courses, and coaching), or engaging us for any service, you ("you" or "Client") agree to these Terms of Service and our Privacy Policy. If you do not agree, please do not use the site, buy anything, or engage our services.
What this site is
This site is an informational marketing site. It describes who we are, what we do, and how to start a conversation about working together. The content here is for general informational purposes. It is not consulting advice, legal advice, financial advice, or a recommendation tailored to your specific situation. Reading the site does not create a consulting relationship between us.
Education, not professional advice
Everything we publish and everything we teach is education and general information, offered in good faith and with our best effort. That covers this website, the AI Sherpa Basecamp webinar series and any other live training, coaching and consulting sessions, workshops, guides, prompts, templates, emails, and every other piece of content or deliverable we provide.
None of it is legal advice, financial advice, tax advice, accounting advice, investment advice, or professional business advice, and none of it substitutes for any of those. We are not your attorney, accountant, financial advisor, or fiduciary. No attorney-client, accountant-client, advisor-client, or other professional-client relationship is created by using this site, attending a session, or purchasing anything from us.
Before you act on anything you learn from us, especially any decision involving money, contracts, taxes, employment, insurance, or the law, run it past your own licensed professionals: your attorney, your CPA, your financial advisor, or whichever licensed expert covers that decision. They know your specific situation. We do not, and our education is never a reason to skip them.
AI tools, your systems, your decisions
Our education frequently involves third-party AI tools such as Claude, ChatGPT, and other AI-based systems. Those tools belong to their own companies, run under their own terms of service, change constantly, and produce output that nobody, including us, fully controls. AI output can be wrong, incomplete, or unsuitable for your situation, and you are responsible for checking it before you rely on it.
Anything you build, configure, connect, automate, purchase, publish, or execute inside your own accounts and systems is done at your own direction and your own risk. You are solely responsible for the decisions you make and the actions you take based on our education or on any AI output, including business, financial, and personal decisions. You are also solely responsible for the security, backups, data, subscription costs, and legal compliance of your own accounts and systems. To the fullest extent permitted by law, Gray Adventure Strategies is not liable for any loss or damage arising from your use of any AI system or from decisions you make and actions you take on your own.
What our services are
Gray Adventure Strategies offers AI business strategy consulting, including discovery sessions, strategic analysis, AI roadmap development, and guided execution support, plus live education products under the AI Sherpa banner, including group webinar series such as AI Sherpa Basecamp, coaching sessions, and workshops. The exact scope, deliverables, timeline, and fees for any engagement are governed by a separate written agreement (a Statement of Work, proposal, or similar document) signed by both parties. Where there is a conflict between these Terms and a signed engagement agreement, the engagement agreement controls.
How discovery calls work
A discovery call is a conversation, not a paid engagement. There is no fee, no obligation to buy anything, and no commitment created by booking or attending one. You are free to walk away at any point. We are likewise free to decline to take an engagement that is not a good fit.
Payment and refunds
For paid engagements, payment terms (amounts, schedule, and refund policy) are set out in your signed engagement agreement. As a default, work is billed in milestones or on a recurring schedule, invoices are due on receipt unless otherwise agreed, and unpaid invoices accrue late fees as stated in the agreement. Please read your engagement agreement carefully.
Live training and digital products
Some of our products, such as the AI Sherpa Basecamp webinar series, are sold directly on this site and delivered live. Unless the product page says otherwise, live sessions are live only: attendance happens in real time and recordings are not provided. Session dates, times, format, and what is included are as stated on the product page at the time you purchase. Payment for these products is processed by Stripe on Stripe's secure checkout pages.
Course materials, guides, prompts, and templates we provide with any product are licensed to you for your own personal use and internal business use. You may not resell them, redistribute them, share them outside your own organization, or use them to build a competing course or product.
Refunds for live training and digital products are governed by the refund terms stated on the product page or at checkout for that product. Prices may change between cohorts or releases; the price you pay is the price shown at your checkout.
If we ever need to reschedule a live session, we will offer the session at a new time or work out a fair resolution with you.
Acceptable use of this site
You agree not to:
- Attempt to gain unauthorized access to any part of the site, its hosting infrastructure, or related accounts.
- Scrape, crawl, copy, or republish substantial portions of the site for commercial purposes without permission.
- Submit false, misleading, or impersonating information through any form.
- Use the site to transmit malware, spam, or any content that violates applicable law.
- Interfere with the operation of the site or with any other visitor's use of it.
We may suspend, restrict, or block access to anyone we reasonably believe is violating these rules.
Intellectual property
The site, its writing, design, photography, illustrations, code, frameworks, methodologies, and brand marks are owned by Gray Adventure Strategies or licensed to us, and are protected by copyright and trademark law. You may share links to the site freely. You may quote short excerpts with attribution. You may not copy, redistribute, or create derivative works from the site or from any deliverable we produce for you, except as expressly permitted in a written agreement.
For paid engagements, ownership of deliverables is governed by the engagement agreement. Our background methods, frameworks, prompts, templates, and know-how remain ours.
Third-party tools and links
The site embeds third-party services such as Google Fonts, the MeetPaddy / HighLevel scheduling iframe, and Cloudflare's hosting and security infrastructure. We may link to external websites for reference. We do not control those third parties and are not responsible for their content, availability, or practices. Their use of any data you provide is governed by their own terms and policies.
Disclaimers
The site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the site will be uninterrupted, error-free, secure, or virus-free, that any information on it is accurate or complete, or that any business outcome will be achieved by following anything you read here. Any business decision you make based on this site or any conversation with us is your own.
We make no promises about results, revenue, savings, or outcomes from our education or consulting. Examples, case studies, and testimonials describe what happened for specific people in specific situations, not what will happen for you. Your results depend on your business, your execution, and factors outside anyone's control.
Limitation of liability
To the fullest extent permitted by law, in no event will Gray Adventure Strategies, its owners, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of the site, including lost profits, lost revenue, or business interruption, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the site (excluding paid engagements, which are governed by their own agreements) is limited to one hundred U.S. dollars (USD $100).
Indemnification
You agree to defend, indemnify, and hold harmless Gray Adventure Strategies from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the site.
Governing law and disputes
These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the site will be brought exclusively in the state or federal courts located in Idaho, and you consent to the personal jurisdiction of those courts. The parties waive any right to a jury trial.
Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent version. Continued use of the site after a change means you accept the updated Terms.
